By downloading or using Reporter Software, you ("Customer") agree to the terms and conditions outlined below. If you are acting on behalf of an employer, you confirm that you have the authority to bind the employer to these terms and conditions.

SOFTWARE SERVICE: IT Liner ("Company") grants the Customer access to Reporter Software.

USE OF SERVICE:

  • Customer Data: Remains Customer’s property. Reporter may use it for service-related purposes.
  • Customer Responsibilities: Secure passwords, manage data, prevent unauthorized access, and comply with laws.
  • Technical Support: Provided per the Reporter Support Policy.
  • Publicity: Reporter may list Customer’s name and logo unless opted out.

WARRANTY: Reporter disclaims all warranties, including merchantability and fitness for purpose. Security is provided but not guaranteed. Service may experience interruptions.

PAYMENT: Fees are due as invoiced. Customer is responsible for taxes.

MUTUAL CONFIDENTIALITY:

  • Confidential Information includes non-public business data.
  • Excludes publicly available, lawfully received, or independently developed information.
  • Disclosure is permitted if legally required.

PROPRIETARY PROPERTY:

  • Reporter retains all rights to its software and intellectual property.
  • Customers cannot sell, modify, reverse-engineer, or use for competitive purposes.
  • Reporter may use anonymized Customer Data for service improvements.

TERM AND TERMINATION:

  • Agreement remains until all orders terminate.
  • Either party may terminate for material breach with 30 days' notice.
  • Service may be suspended for non-payment.
  • Reporter has no obligation to maintain Customer Data post-termination.

LIABILITY LIMIT:

  • Reporter is not liable for indirect or consequential damages.
  • Liability is capped at fees paid in the last 6 months.

INDEMNITY: Customer must indemnify Reporter for claims arising from Customer’s actions or data.

GOVERNING LAW: Governed by applicable laws. Parties may seek legal remedies, including injunctive relief.

OTHER TERMS:

  • This agreement supersedes prior agreements and cannot be modified without mutual consent.
  • Parties are independent contractors.
  • Unenforceable terms do not affect the validity of the rest.
  • Force majeure applies except for payment obligations.
  • Surviving terms remain effective post-termination.

UPDATES: This agreement may be updated; customers should review it periodically.
